Noel Tata Seeks Tata Sons Board Vote on Restructuring and SP Group Liquidity Plan

Noel Tata seeks board vote on company restructuring, SP Group liquidity plan

Noel Tata is pushing for a board vote on restructuring and Shapoor Pallonji (SP) Group liquidity support at the upcoming Tata Sons board meeting scheduled for November 26, 2026. The Tata Trusts Chairman wrote to the holding company board on Thursday to include these key matters on the agenda after receiving no response to his earlier representations. The latest communication follows a meeting between Noel Tata and Tata Sons Chairman N Chandrasekaran that failed to resolve existing differences between the two sides.

Breaking Impasse Over Tata Sons Restructuring

According to a company official, discussions brokered by retired senior Tata Group executives did not help bridge the gap between leadership factions. Noel Tata has relied on Article 121B of the Articles of Association (AOA) to give 15 days notice and propose resolutions directly to the board. He also submitted draft resolutions alongside steps required to complete the proposed reorganisation and provide liquidity support to the SP Group.

Late last month, Tata Trusts proposed restructuring Tata Sons through the merger of Tata Electronics Systems Solutions Private Limited and Tata Consulting Engineers with the holding company. The Trusts stated that this merger would enable Tata Sons to cease being classified as a non-banking financial company-upper layer (NBFC-UL), allowing the firm to retain its private company status. A copy of this proposal was also marked to the Reserve Bank of India (RBI).

SP Group Liquidity Support And Share Listing

The second letter addresses the SP Group proposal to raise ₹25,000 crore through a share buyback. Noel Tata initially presented this plan at a Tata Sons board meeting on September 17 following discussions with SP Group Chairman Shapoor Mistry. The SP Group, holding more than 18 per cent of Tata Sons, has also called for listing the holding company shares.

In his latest communication, Noel Tata has requested details from the board on what action has been taken regarding the share listing proposal. An executive familiar with the matter stated that no progress has been made on earlier letters and that Noel Tata is doing everything within his remit to keep Tata Sons private.

Governance Concerns At Trent

Disputes between Noel Tata and other board members have reportedly spilled over into group companies amid questions over Trent appointing senior lawyer Bahram Vakil as its next chairman. Bahram Vakil is set to replace Noel Tata, who retires from the role on November 12 upon attaining the age of 70. Group executives noted that leadership appointments are typically made in consultation with Tata Sons as the principal shareholder, with one executive stating that issues of governance cannot be a matter of convenience. An email sent to the Trent investor relations team did not elicit a response.
